Scope<\/h2>\n        <p>Unless otherwise stipulated in a specific written contract, these general terms and conditions apply to all services and\/or sales, whether current or future, provided by our company (hereinafter <span class=\"highlight\">\u2018Service provider\u2019<\/span>) relating to:<\/p>\n        <ul>\n            <li>Repairs, maintenance, servicing, installation, design, assembly of machinery or equipment, and all other services (hereinafter <span class=\"highlight\">\u2018Services\u2019<\/span>).<\/li>\n            <li>The delivery of spare parts (hereinafter <span class=\"highlight\">\u2018Sales\u2019<\/span>).<\/li>\n        <\/ul>\n        <p>Whether these services or sales are carried out on the basis of a quotation or on a time-and-materials basis, these general terms and conditions apply to the exclusion of the customer\u2019s general terms and conditions of purchase.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>2. The client\u2019s obligations regarding cooperation and technical assistance<\/h2>\n        <p><span class=\"item-num\">2.1<\/span> The Client undertakes to ensure that its own staff provide the Service Provider\u2019s staff with the assistance necessary for the proper performance of the Services and, where agreed, to make available to the Service Provider\u2019s staff all the tools, machinery and lifting equipment, as well as the materials and equipment required.<\/p>\n        <p><span class=\"item-num\">2.2<\/span> In the event that any tools or equipment provided by the Service Provider are damaged at the site of the work or go missing, the client shall be liable to compensate the Service Provider provided that the loss or damage is attributable to the client.<\/p>\n        <p><span class=\"item-num\">2.3<\/span> The client is required to ensure the safety of the work site, compliance with the applicable safety instructions, and suitable working conditions. In this regard, the client undertakes, in particular, to clean the machinery on which repairs are to be carried out. The client must inform the Service Provider\u2019s staff of any specific safety instructions in force within their organisation.<\/p>\n        <p><span class=\"item-num\">2.4<\/span> The client shall arrange or provide, at its own expense, the company\u2019s internal work authorisations, access badges, etc.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>3. Formation of the contract<\/h2>\n        <p>In respect of the provision of services or sales, the contract shall only be formed upon the client\u2019s unconditional signature of the Service Provider\u2019s quotation, the service report or any other document issued by the Service Provider that constitutes an order for work or delivery.<\/p>\n        <p>Quotations or other documents constituting a work order for repairs carried out without complete dismantling are merely indicative. If, whilst the work is being carried out, it becomes apparent that additional, unplanned work is necessary, the customer agrees that the Service Provider may carry out such work without having to seek the customer\u2019s written consent, <span class=\"highlight\">provided that the cost of this work does not exceed 15 per cent of the pre-VAT cost of the original works<\/span>.<\/p>\n        <p>If the amount exceeds 15 per cent, the Service Provider must obtain the client\u2019s written consent. If the client refuses to give their consent, the Service Provider may:<\/p>\n        <ul>\n            <li><span class=\"highlight\">Either stop the repair:<\/span> In this case, the client will remain liable to pay for the work carried out and the time spent up to the point of interruption.<\/li>\n            <li><span class=\"highlight\">Or (if possible) complete the repair without carrying out the additional work:<\/span> In such cases, the client shall not be entitled to make any claim or objection, nor to bring any action against the Service Provider for compensation for any loss or damage, of whatever nature, arising from such incomplete repair.<\/li>\n        <\/ul>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>4. Price<\/h2>\n        <p class=\"translation-block\"><span class=\"item-num\">4.1<\/span> For Services or Sales, the price is that specified in the quotations or order acknowledgements. Unless otherwise specified by the Service Provider, prices are exclusive of tax and <span class=\"highlight\"> Ex Works<\/span>. Prices are subject to annual review, or, where applicable, in line with increases in energy or fuel costs. Prices are provided to the customer on request.<\/p>\n        <p>In the absence of a quotation, the price shall be determined on the basis of the Service Provider\u2019s current rates for spare parts, labour and call-out charges on the date the documents constituting the work order are signed.<\/p>\n        \n        <div class=\"alert-box\">\n            <span class=\"alert-title\">\u26a0\ufe0f Important: Diagnostic services are subject to a charge<\/span>\n            Diagnostic checks are subject to a charge. If, upon receipt of the quotation following the diagnostic check, the customer decides not to proceed with the work, they must pay our company a sum corresponding to the costs incurred in carrying out the diagnostic check. They will be invoiced in accordance with the service report drawn up for the diagnostic check and the Service Provider\u2019s current rates on the date the check was carried out.\n        <\/div>\n\n        <p><span class=\"item-num\">4.2<\/span> The price does not include the cost of intellectual and industrial property rights, nor the Service Provider\u2019s know-how.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>5. Terms and conditions of payment<\/h2>\n        <p class=\"translation-block\"><span class=\"item-num\">5.1<\/span> Unless otherwise agreed in writing, payment for Services and Sales must be made, net and without discount, by bank transfer to the Service Provider\u2019s bank account <span class=\"highlight\">within 30 days net<\/span> from the date the invoice is issued.<\/p>\n        <p class=\"translation-block\"><span class=\"item-num\">5.2<\/span> In the case of the sale of machinery or equipment, the provision of services involving the supply of equipment or spare parts, or services scheduled over a long period, the Service Provider reserves the right to request advance payments from the customer. These instalments may amount to <span class=\"highlight\">up to 70%<\/span> of the price of the services and <span class=\"highlight\">90%<\/span> of the price of the parts supplied.<\/p>\n        <p><span class=\"item-num\">5.3<\/span> Any delay in payment shall result in the immediate application, as a matter of law and without the need for a reminder, of:<\/p>\n        <ul>\n            <li class=\"translation-block\">A fixed-sum charge for recovery costs amounting to <span class=\"highlight\">40 euros<\/span>.<\/li>\n            <li class=\"translation-block\">Late payment penalties calculated on the outstanding amounts at an interest rate equal to <span class=\"highlight\">three times the statutory interest rate<\/span> in force in France, plus 5 percentage points.<\/li>\n        <\/ul>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>6. Terms and conditions and timeframes for delivery and performance<\/h2>\n        <p><span class=\"item-num\">6.1<\/span> Delivery or completion times are calculated from the date of dispatch from our workshops and warehouses and are provided for information purposes only and are not binding.<\/p>\n        <p>If the client is late in providing the necessary information or documents, the deadlines will automatically be extended by the corresponding period.<\/p>\n        <p class=\"translation-block\">If the customer returns the machine or equipment late, the deadline will be postponed by the duration of the delay and <span class=\"highlight\">extended by two months<\/span>.<\/p>\n        <p class=\"translation-block\">In the event of any hindrance or delay in gaining access to the site attributable to the customer, they may be charged for <span class=\"highlight\">\u2018downtime\u2019 at a rate of \u20ac60 (excl. VAT) per hour per technician dispatched<\/span>, as well as the cost of travel or equipment hire, plus a 15 per cent surcharge for labour and handling.<\/p>\n        <p><span class=\"item-num\">6.2<\/span> Delivery or performance shall be deemed to have taken place upon dispatch or delivery of the notice of readiness. After this period, the customer shall be liable for storage charges in accordance with the current rate.<\/p>\n        <p><span class=\"item-num\">6.3<\/span> The completion deadline shall be extended accordingly if the client requests additional work or if such work proves necessary.<\/p>\n        <p><span class=\"item-num\">6.4 Force majeure:<\/span> The deadline shall be extended for as long as the force majeure event persists. Such events include, in particular: natural disasters, floods, fires, earthquakes, terrorist attacks, civil unrest, strikes (including those involving third parties) and government measures.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>7. Reception<\/h2>\n        <p><span class=\"item-num\">7.1<\/span> The customer is required to accept the Services as soon as they have been notified of their completion.<\/p>\n        <p><span class=\"item-num\">7.2<\/span> Once acceptance has taken place, no further claims may be made against the Service Provider in respect of apparent defects, provided that the client has not previously raised any reservations regarding a specifically identified defect.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>8. Transfer of risks \u2013 transport risks<\/h2>\n        <p><span class=\"item-num\">8.1<\/span> Machinery and equipment entrusted by the client must be insured by the client against all risks. The Service Provider\u2019s \u2018entrusted property\u2019 insurance covers only those risks for which it is liable.<\/p>\n        <p><span class=\"item-num\">8.2<\/span> Risk passes to the Service Provider as soon as the machinery and equipment are taken into possession, as evidenced by the signing of an acceptance or inspection form.<\/p>\n        <p><span class=\"item-num\">8.3 Unless otherwise specified:<\/span><\/p>\n        <ul>\n            <li>Risk passes to the customer as soon as the goods are made available to the customer or their authorised representative.<\/li>\n            <li class=\"translation-block\">In the event of delay, damage or loss during transport, it is the customer\u2019s responsibility to lodge a claim by registered letter with acknowledgement of receipt or by bailiff\u2019s writ <span class=\"highlight\">within a maximum of 3 days<\/span> with the carriers responsible.<\/li>\n        <\/ul>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>9. Guarantee relating to the provision of services<\/h2>\n        <p><span class=\"item-num\">9.1<\/span> Upon acceptance, the client may request that the Service Provider remedy any proven defects affecting the Services, to the exclusion of any other claims. Complaints must be notified in writing as soon as they are discovered. The Service Provider shall not be liable if the defect is minor or attributable to the client. Replaced parts shall become the property of the Service Provider.<\/p>\n        <p><span class=\"item-num\">9.2<\/span> The Service Provider shall not be liable for any damage resulting from alterations or repair work carried out by the customer or a third party without prior consent.<\/p>\n        <p><span class=\"item-num\">9.3<\/span> The costs of assembly and disassembly incurred in rectifying a defect shall be borne by the customer, subject to the provisions of Article 12.<\/p>\n        <p><span class=\"item-num\">9.4 The Service Provider shall not be liable for any damage:<\/span><\/p>\n        <ul>\n            <li>Caused by wear and tear, faulty connections or mishandling by the customer.<\/li>\n            <li>Arising from a case of force majeure (Art. 6-4).<\/li>\n            <li>Due to normal wear and tear and excessive use of the parts.<\/li>\n            <li>Due to exceptional mechanical, chemical or atmospheric factors.<\/li>\n        <\/ul>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>10. Confidentiality \u2013 Intellectual Property<\/h2>\n        <p>Any drawings, plans, studies, calculations, prototypes, models, photographs or any other material provided by the Service Provider shall remain the Service Provider\u2019s property and are strictly confidential. The client is prohibited from reproducing them (except for their own personal use) or disclosing them to third parties.<\/p>\n        <p>As payment does not entail any transfer of intellectual property rights, the customer is only entitled to use or sell the machine, but not to reproduce it. The customer undertakes to ensure that its directors, employees, advisers and subcontractors comply with this clause.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>11. Non-solicitation clause &amp; Right of retention<\/h2>\n        <p><span class=\"item-num\">11.1 Non-solicitation:<\/span> The Client shall refrain from recruiting or employing any employee or staff member of the Service Provider for the entire duration of the contract and for a period of one year following its termination. In the event of a breach of this provision, the Client shall pay compensation amounting to at least twice the said employee\u2019s gross annual salary.<\/p>\n        <p><span class=\"item-num\">11.2 Right of retention:<\/span> The Service Provider reserves the right to retain any equipment or machinery provided by the client until the corresponding invoices have been paid in full.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>12. Liability of the Service Provider<\/h2>\n        <p><span class=\"item-num\">12.1 Damage to the subject matter of the service:<\/span> The Service Provider may, at its discretion, repair or replace any items damaged by it. The costs incurred in this regard shall not exceed the price of the Works and Services.<\/p>\n        <p><span class=\"item-num\">12.2 Damage not covered by the service:<\/span> The Service Provider accepts no liability except in the following cases:<\/p>\n        <ul>\n            <li><strong>a)<\/strong> Damage caused intentionally or through gross negligence.<\/li>\n            <li><strong>b)<\/strong> Gross negligence on the part of his subordinates.<\/li>\n            <li><strong>c)<\/strong> An offence against life, physical integrity or health.<\/li>\n            <li><strong>d)<\/strong> Dol.<\/li>\n            <li><strong>e)<\/strong> Damage covered by a contractual warranty.<\/li>\n            <li><strong>f)<\/strong> Liability for defective products.<\/li>\n        <\/ul>\n        <p>In the event of a breach of a fundamental contractual obligation due to simple negligence, liability shall be limited to direct damages that were foreseeable at the time the contract was concluded.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>13. Retention of title<\/h2>\n        <p>The Service Provider retains full ownership of the items sold until full payment of their price (principal and ancillary costs) has been made. Any clause to the contrary shall be deemed null and void.<\/p>\n        <p>In the event of seizure by a third party, the purchaser must notify the Service Provider immediately. In the event of non-payment, the Service Provider may reclaim the goods. Any deposits already paid shall be retained by the Service Provider by way of compensation.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>14. Applicable law \u2013 Competent courts<\/h2>\n        <p><span class=\"item-num\">14.1<\/span> All contracts entered into between the parties and governed by these general terms and conditions are subject to French law.<\/p>\n        <p><span class=\"item-num\">14.2<\/span> All disputes shall fall within the exclusive jurisdiction of the Commercial Court of the Service Provider\u2019s registered office, even in the event of multiple defendants or third-party proceedings.<\/p>\n    <\/div>\n\n    <div class=\"section\">\n        <h2>15. Personal data<\/h2>\n        <p>The information collected is processed electronically.
